Intelliflo, a firm, is to be purchased by Carlyle from Invesco.

In a significant move, global investment firm Carlyle has announced the acquisition of intelliflo from Invesco. The transaction, which includes intelliflo's US-based subsidiaries, including RedBlack and intelliflo Portfolio, is valued at up to $200 million.

The purchase price consists of $135 million at closing, with an additional $65 million in potential future earnouts. HSF Kramer acted as legal adviser to Invesco in the transaction, while Gibson Dunn provided legal counsel to Carlyle. Evercore served as financial advisor to Invesco, and Altman Solon, PWC, Oliver Wyman, and Ringstone conducted due diligence on the acquisition.

Intelliflo, a market-leading provider of cloud-based practice management software for independent financial advisors (IFAs) in the UK, offers an end-to-end software platform used by over 30,000 professionals at approximately 2,600 advisory firms. This platform delivers CRM, financial planning, client onboarding, compliance workflows, and reporting functionality, supporting the management of approximately £450 billion in client assets.

Bryan Perryman, the CEO of RedBlack, expressed excitement about focusing on the US market as a standalone company. RedBlack, with a history of delivering market-leading software solutions for its US RIA customer base, will now operate as a standalone business called RedBlack.

Fernando Chueca, Managing Director in the CETP investment advisory team, is excited to partner with intelliflo's leadership team. CETP, which has significant experience in financial software, wealthtech, and vertically focused SaaS, will provide the equity for the investment.

Doug Sharp, Senior Managing Director at Invesco, expressed confidence in the continued success and innovation of intelliflo and RedBlack in the wealth technology space. Nick Eatock, the founder of Intelliflo, also expressed his optimism about the future of the company under Carlyle's ownership.

The acquisition marks a significant step forward for both intelliflo and RedBlack, as they look to expand their presence in the US market and continue to innovate in the wealth technology space.
